At the 12th Meeting of the 3rd Board of Supervisors, held on 31 Oct 2008, the following proposals were examined and approved:

1. to acquire the Fuzhou Strait Vocation & Technological College
Details of the proposal can be found on the company's designated media, the China Info website (www.cninfo.com.cn), dated 1 Nov 2008. The deal constitutes a related-party transaction and was approved by independent directors of the company before its submission to the board meeting.

2. to replace the head of the auditing department

Wu Longshun was elected head of the auditing department.
