Company to Decrease Investment in Yunnan Chengtou

At the 9th Meeting of the 5th Board of Directors, held on 28 Oct 2008, the following proposals were examined and approved:

1. to decrease the investment in Yunnan Chengtou Landmark Co., Ltd., a wholly-owned subsidiary of the company to RMB 50 mln. Yunnan Chengtou Landmark Co., Ltd.'s registered capital is RMB 100 mln, Its paid-in capital is RMB 50 mln.

2. for Beijing Zhaojin Investment Management Co., Ltd., to transfer its 25% stake in Tianjin Yunbin Industrial Investment Co., Ltd. to Yunnan Hanlin Education Investment Co., Ltd.
The company will give up the right of first refusal to purchase the 25% stake. Beijing Zhaojin Investment Management Co., Ltd., is a shareholder of Yunbin Industry. Yunbin Industry is a subsidiary of the company.
