In the light of past related-party transactions, the company plans to sign the Framework Agreement on Related-party Transactions with 25 companies controlled by its controlling shareholder Minmetals Group Corporation directly or indirectly, and the Framework Agreement on Financial Service with Minmetals Group Financial Co., Ltd. The two agreements are valid from 1 Jan 2009 to 31 Dec 2011.

The Framework Agreement on Related-party Transaction addressing transactions, includes but is not limited to, purchasing and selling of commodities, agency undertakings as well as the providing and receiving of services.

The Framework Agreement on Financial Services addressing transactions, includes but is not limited to, provisions on providing certain amounts in lines of credit and other financial services.

The pricing in each individual related-party transaction contract under the two agreements shall be based on fair market price.
