Pursuant to the revised major asset restructuring report disclosed on 9 Oct 2008, the registration procedures for a merger between China Unicom Ltd. and China Netcom Group Corp. (Hong Kong) Ltd. were completed on 15 Oct 2008 with the Hong Kong Companies Registry. China Unicom Ltd. has been renamed China Unicom (Hong Kong) Ltd., for which a name change certificate has been issued by the Hong Kong Companies Registry.

China Unicom Ltd. issued 10,102,389,377 consideration shares to China Netcom Group, equal to a 42.51% stake in the new China Unicom (Hong Kong). As a result, China Netcom Group's shares have been canceled. China Netcom will issue 6,699,197,200 shares to China Unicom Ltd. and its agents, thus becoming a subsidiary of China Unicom Ltd.
