At the 1st 2008 Extraordinary General Meeting of Shareholders, held on 20 Oct 2008, the following proposals were examined and approved:

1. for China Railway Seventh Group Co., Ltd. and China Railway Tenth Group Co., Ltd., two subsidiaries of the company, to provide guarantees on respective loans taken out by Henan International Cooperation Group Co., Ltd. and China Railway Tenth Group No. 3 Construction Co., Ltd., a subsidiary of Tenth Group
2. to issue up to RMB 15 bln worth of corporate bonds once or in phases, with maturities not more than 15 years

The resolution will remain in effect for 36 months upon approval.
