At the 3rd 2008 Extraordinary Meeting of the 3rd Board of Directors, held on 12 Oct 2008, the following proposals were examined and approved:

1.to apply for an eight-year RMB 240 mln long-term loan, and a RMB 20 mln short-term loan with China Minsheng Bank, Jinan branch, by pledging 31 mln shares in Industrial Bank Co., Ltd. Both loans will be used for the construction of a 4600 t/d cement clinker production line, which has been approved at the 8th Meeting of the 3rd Board of Directors
2. to formulate the Management Rules to Prevent Possible Misappropriation of Funds by the Controlling Shareholder or other Related Parties
