Loan Application for Energy Projects

The company plans to convene its 3rd Extraordinary General Meeting of Shareholders on 11 Sept 2008, at which the following items will be examined and considered for approval:

1. to purchase a stake in Shenzhen Nanshan Power Co., Ltd. currently held by Shenzhen Energy Group Co., Ltd.
2. to establish Shenzhen North Energy Holding Co., Ltd.
3. to approve a loan application for the two 200MW units project in Manzhouli, Heilongjiang Province
4. to provide a loan guarantee for Anhui Tonglin Power Co., Ltd.
5. to retain the company's auditors for 2008
6. to apply for loans from Shenzhen Financial Co., Ltd.
7. to co-found Shenzhen Energy (Huizhou) Port Co., Ltd.

Shareholders of record on 8 Sept 2008 or their proxies, as well as directors, supervisors, senior managers and lawyers of the company are entitled to attend the meeting.
