Opinion on Senior Manager Appointment

Pursuant to the Guidance Opinions regarding the Establishment of the System of Independent Directors, the Shenzhen Stock Exchange Conduct of Directors of Companies Listed on the Small and Medium-sized Enterprise Board Guidelines and the Independent Directors Working Rules, independent directors of the company issue the following independent opinions on the appointment of Hu Yun as deputy general manager and secretary to the board:

Independent directors assert that Hu Yun is qualified to hold the position of deputy general manager and secretary to the board in line with the Company Law of the PRC, the SZSE Stock Listing Rules and the Articles of Association of the company. In addition, the convening of the 19th Meeting of the 3rd Board of Directors, at which Hu was appointed, was lawful and valid.
