At the 4th 2008 Extraordinary General Meeting of Shareholders, held on 28 Aug 2008, the following proposals were examined and approved:

1. to guarantee a loan and the remainder of a previous line of credit, totaling RMB 232.9 mln, for Yixing Tianshan Cement Co., Ltd.
2. to undertake a one-year RMB 200 mln loan from China National Materials Co., Ltd. (CNMC) and an eight-month RMB 100 mln loan from Sinoma (Hanjiang) Cement Co., Ltd., a subsidiary of CNMC's wholly-owned subsidiary- SINOMA Cement Co., Ltd.
The borrowing rate of both loans will be 15% higher than the benchmark rate for the same period.

3. to conduct operating related-party transactions
