At the 22nd Extraordinary Meeting of the 3rd Board of Directors, held on 22 Aug 2008, the following proposals were examined and approved:

1. the 2008 Semiannual Report and its Abstract
2. to approve Shandong Expressway Investment Development Co., Ltd., a wholly-owned subsidiary of the company, to invest in a sewage treatment company
Shandong Expressway plans to buy facilities and ancillary assets of the project located in Hanting District, Weifang, with a daily disposal capacity of 20,000 cubic meters of sewage for RMB 19.9 mln via TOT Shandong Expressway will operate the sewage treatment facilities for 25 years.

3. to purchase a 100% stake in Shandong Hi-speed Group Henan Xuyu Highway Co., Ltd.

The company plans to convene its 2nd 2008 Extraordinary General Meeting of Shareholders on 9 Sept 2008 to examine proposal 3.
