In order to regulate related-party transactions as well as to ensure the fairness of related-party transactions and to protect the interests of its investors, the company has formulated the Administrative Rules for Related-party Transactions, including the parties involved in the related-party transactions, the contents, the decision-making procedures and the rules for information disclosure, in compliance with the Company Law of the PRC, the Securities Law of the PRC, the Stock Listing Rules of the Shenzhen Stock Exchange and the Articles of Association of the company.
