In order to regulate related-party transactions between the company, its subsidiaries and related parties as well as to ensure the validity, rationality and fairness of related-party transactions, the company has formulated the Administrative Rules for Related-party Transactions, including basic rules and general regulations for related-party transactions, the contents, the parties involved, the transaction system, the procedure for examination and information disclosure and an accountability system, in compliance with the Company Law of the PRC, the Securities Law of the PRC, the Stock Listing Rules of the Shenzhen Stock Exchange and the Articles of Association of the company.
