Shenzhen Nanshan Stake to be Acquired

In compliance with the company’s plan to acquire assets via a new share issuance, which constitutes a related-party transaction, disclosed on 18 Sept 2007, the company will acquire a stake in Shenzhen Nanshan Co., Ltd., through Shenzhen Energy Group Co., Ltd., the company’s controlling shareholder following the receipt of approvals from relevant government authorities for the power generation plants of Shenzhen Nanshan Power. The acquisition will be made at a reasonable price, within 18 months following the completion of the company’s asset acquisition via new share issuance.

Consequently, pursuant to relevant requirements of the Tentative Measures on the Administration of the Transfer of Shares of Listed Companies Held by State-owned Shareholders and other laws and regulations, the aforementioned asset acquisition will be conducted. Detailed information pertaining to the acquisition will be announced following approval from the board of directors.
