Legal Opinion of the 2007 AGM of Shareholders

At the 2007 Annual General Meeting of Shareholders, held on 24 Jun 2008 at 11:00 am, the following proposals were examined and approved:

1. the 2007 Working Report of the Board of Directors
2. the 2007 Working Report of the Board of Supervisors
3. the 2007 Profit Distribution Scheme
4. to retain the company's auditors
5. to build special committees of the board of directors and to formulate rules of procedure for these committees
6. the working statement of independent directors

Guangdong Junyan Law Firm holds that the convening and meeting procedures, qualifications of participants and the convenor, proposal voting procedures and resolutions of the 2007 Annual General Meeting of Shareholders are lawful, valid and in accordance with relevant regulations of the Company Law of the People's Republic of China, the PRC Securities Law, the Rules for General Meetings of Shareholders and the Articles of Associations of the company.
