As a result of its investment needs for current projects, the company plans to neither pay a cash dividend from accumulated profits, nor to distribute a stock dividend from its capital reserve.
6. to retain Shulun Pan Certified Public Accountants as the company's auditors
7. a proposal related to the audit fee of the company's auditors
8. a proposal related to stipends for independent directors
9. to provide a guarantee for Shanghai Industrial Investment (Group) Co. Ltd
10. to revise certain items in the Articles of Association
11. a general election for the 7th Board of Supervisors
12. a general election for the 7th Board of Directors
13. a proposal related to the company's qualifications for a major asset restructuring
14. a proposal related to the company's qualifications for a private placement of A-shares
15. to acquire assets via private placement
16. to purchase assets of SVA Information Industry Co. Ltd with cash
17. related-party transactions tied to the company's major asset restructuring
18. a draft report on related-party transactions tied to asset purchases via share issuance
19. an agreement related to asset purchases via share issuance
20. an equity transfer agreement related to asset purchases
21. a supplementary agreement with SVA Group Co. Ltd regarding the profitability forecasts of the planned purchased assets
22. a proposal for new and existing shareholders to share undistributed profits prior to the planned share issuance related to the assets purchases
23. to exempt SVA Group Co. Ltd from its tender offer obligation
24. to request a general meeting of shareholders to authorise the board of directors to address issues related to the purchase of assets via share issuance and other major asset purchases
